Analysis of the horizontal effects of a concentration transaction between electricity generators, including relevant market assessment and mitigation measures submitted to the National Economic Prosecutor’s Office.
The transaction involved the acquisition of control of an electricity generator by a competitor with a relevant presence in the same market. Because it exceeded the filing thresholds, it had to be notified mandatorily and before closing to the National Economic Prosecutor’s Office.
Our team defined the affected generation and commercialization markets, measured the resulting concentration and assessed the transaction’s horizontal effects on prices and supply conditions. The analysis incorporated the particular structure of the electricity market and the applicable sector regulation.
On that basis, a set of structural mitigation measures was designed to address competition concerns while preserving the economic rationale of the transaction. The report accompanied the filing and served as the basis for interaction with the Prosecutor’s Office during the investigation.
